Acceptance of Terms

By accessing or using any website, product, or service operated by ITNS-Global Private Limited ("ITNS-Global", "Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use our services.

These Terms apply to all visitors, users, and clients of global.itns.in, catalogs.itns.in, itns.in, and all ITNS-Global services.

Our Services

ITNS-Global provides AI-powered digital infrastructure solutions including, but not limited to:

  • Digital launch and eCommerce setup services
  • Growth marketing and AI-powered lead generation
  • Microsoft 365 managed services and cloud collaboration
  • Cloud infrastructure management (AWS, Azure, GCP)
  • Enterprise IT operations, cybersecurity, and AIOps
  • Custom software development (CRM, HRMS, Financial, eCommerce, HMS)
  • Digital transformation consulting and managed services

The specific scope, deliverables, timelines, and commercial terms for each engagement are defined in individual Statements of Work, Service Agreements, or Purchase Orders entered into between ITNS-Global and the client.

Eligibility

Our services are intended for businesses and professionals. To use ITNS-Global services you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding agreements
  • Not be barred from receiving services under applicable laws
  • Provide accurate and complete information when engaging our services

Accounts & Responsibilities

Where an account is required to access ITNS-Global platforms or portals, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access at consult@itns.in
  • Ensuring your account information is accurate and up to date

ITNS-Global is not liable for any loss arising from your failure to maintain account security.

Payment Terms

Payment terms are specified in individual service agreements. General terms apply as follows:

One-Time Services

Payment schedules are typically: 50% upfront upon engagement confirmation and 50% upon delivery or go-live, unless otherwise agreed in writing.

Monthly Managed Services

Invoiced monthly in advance. Payment is due within 14 days of invoice date. Services may be suspended after 30 days of non-payment.

Project Engagements

Milestone-based payment as defined in the Statement of Work. ITNS-Global reserves the right to pause work where milestone payments are overdue.

General

  • All prices are exclusive of applicable taxes (GST, VAT) unless stated otherwise.
  • Late payments attract interest at 1.5% per month on outstanding balances.
  • ITNS-Global reserves the right to adjust pricing with 30 days' written notice for ongoing services.

Intellectual Property

ITNS-Global Content

All website content, branding, trademarks, logos, software, documentation, and materials created by ITNS-Global remain the intellectual property of ITNS-Global Private Limited unless expressly transferred in a written agreement.

Custom Software Deliverables

For custom software development engagements (Products P.28–P.33 in our Web Apps & Software suite), full IP ownership is transferred to the client upon final payment, as specified in the relevant service agreement. The client receives unrestricted ownership of the delivered application.

Client Data

You retain ownership of all data you provide to ITNS-Global in connection with services. You grant ITNS-Global a limited licence to process, store, and use such data solely to deliver the agreed services.

Feedback

Any feedback, suggestions, or recommendations you provide regarding ITNS-Global's services may be used by us without restriction or compensation to improve our products and services.

Prohibited Use

You agree not to use ITNS-Global services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to our systems or third-party systems
  • Use our services to deliver spam or unsolicited communications
  • Reverse-engineer, decompile, or disassemble our proprietary software
  • Resell or sublicence our services without prior written authorisation
  • Use our name, brand, or trademarks without written consent
  • Engage in any activity that disrupts or interferes with our services

Limitation of Liability

To the maximum extent permitted by applicable law, ITNS-Global's total liability to you for any claims arising under these Terms or in connection with our services shall not exceed the total fees paid by you to ITNS-Global in the 12 months preceding the event giving rise to the claim.

ITNS-Global shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from third-party service failures (cloud providers, payment processors, etc.)
  • Events beyond our reasonable control (force majeure)
  • Any loss arising from your use of or reliance on information provided on our websites

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Indemnification

You agree to indemnify, defend, and hold harmless ITNS-Global Private Limited, its directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to:

  • Your use of our services in violation of these Terms
  • Your violation of any applicable laws or third-party rights
  • Any data or content you provide or upload to our systems
  • Your wilful misconduct or negligence

Termination

By You

You may terminate service engagements in accordance with the notice periods specified in your individual service agreement. See our Refund & Cancellation Policy for details on financial implications.

By ITNS-Global

We may suspend or terminate your access to services immediately, without prior notice, if:

  • You breach any provision of these Terms
  • Payment obligations remain outstanding for more than 30 days
  • We are required to do so by law or regulatory authority
  • Continued provision of services becomes impractical or unlawful

Effect of Termination

Upon termination, your right to use services ceases immediately. Outstanding payment obligations survive termination. Provisions relating to IP ownership, liability limitations, indemnification, and governing law survive termination.

Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The courts of Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes arising under these Terms, subject to the dispute resolution provisions below.

For clients in the European Union, mandatory consumer protection laws of your country of residence may apply in addition to Indian law.

Dispute Resolution

Informal Resolution

Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from written notification of a dispute.

Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration conducted in Hyderabad, India under the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted by a sole arbitrator agreed upon by both parties, or appointed by the relevant arbitral institution. The language of arbitration shall be English.

Exceptions

Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm, without waiving the right to arbitration for substantive claims.

Changes to Terms

ITNS-Global reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users and a notice on our website at least 30 days before taking effect. Continued use of services after the effective date constitutes acceptance of the revised Terms.

For active service engagements, changes to commercially significant terms (pricing, SLA, IP rights) require mutual written agreement and do not take effect unilaterally.
